Please read these Terms of Service (“Terms”) carefully, as they constitute a binding legal agreement between you (“Client,” “you,” or “your”) and Crezeal Technologies (“Crezeal,” “we,” “us,” or “our”). These Terms govern your access to and use of our services, including digital marketing, website development, app development, and developer outsourcing (“Services”).
By accessing or using our Services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use our Services.
1. Acceptance of Terms
By engaging with Crezeal Technologies, you acknowledge and agree to these Terms. We reserve the right to modify these Terms at any time. Any changes will be posted on our website, and your continued use of our Services constitutes acceptance of those changes.
2. Services Provided
Crezeal offers the following Services:
- Digital Marketing: Strategies to enhance online presence and engagement.
- Website Development: Custom website design and development tailored to client needs.
- App Development: Mobile application development for various platforms.
- Resource Outsourcing: Providing skilled developers to clients on a contractual or project basis to support their software development needs.
3. Client Responsibilities
As a Client, you agree to:
- Provide accurate and complete information, including your name, phone number, and email address.
- Ensure that all content and requirements provided to Crezeal are lawful and do not infringe on third-party rights.
- Cooperate with Crezeal and assigned developers in a timely manner to facilitate the delivery of Services.
- Maintain confidentiality of any proprietary information related to the developers assigned to you, including their identities and work details.
4. Developer Outsourcing Specific Terms
- Engagement: The developers assigned remain employees or contractors of Crezeal Technologies; you are granted a license to use their services as per the agreement.
- Intellectual Property: All work produced by assigned developers as part of your project will be owned by you upon full payment, unless otherwise specified.
- Non-Solicitation: You agree not to directly hire or engage Crezeal developers outside the terms of your contract for a period of 12 months after termination of services, without prior written consent and agreed fees.
- Performance: While Crezeal strives to provide highly skilled developers, the Client acknowledges that Crezeal does not guarantee uninterrupted or error-free service but will make commercially reasonable efforts to meet project requirements.
5. Payment Terms
- Fees: Fees for Services will be outlined in the project proposal or agreement.
- Payment Schedule: Payments are due as per the agreed-upon schedule in the project agreement.
- Late Payments: Late payments may incur additional charges as specified in the agreement.
6. Confidentiality
Both parties agree to maintain the confidentiality of proprietary information shared during the course of the engagement. This includes, but is not limited to, business strategies, client data, project details, and information about assigned developers.
7. Intellectual Property
- Client Content: You retain ownership of all content provided to Crezeal.
- Crezeal Deliverables: Upon full payment, Crezeal grants you a non-exclusive, transferable license to use the deliverables for your business purposes.
8. Limitation of Liability
Crezeal’s liability for any claim arising out of these Terms shall be limited to the amount paid by you for the specific Service that gave rise to the claim.
9. Termination
Either party may terminate the agreement with written notice if the other party breaches any material term and fails to cure the breach within a specified period.
10. Governing Law
These Terms shall be governed by and construed in accordance with the laws of India.
